1. Terms and conditions Introduction

1.1. These terms and conditions are prepared by Ocki Sustainability Limited (referred to as “we”, “us” or “our” in these terms and conditions), a private limited company registered in England and Wales. Our registered office address is Kingsland House, 39 Abbey Foregate, Shrewsbury, Shropshire, United Kingdom, SY2 6BL. Our company number is 14070594, and our UK VAT registration number is 419 6485 63.

1.2. These Terms and Conditions apply to:

use of the website ockisustainability.com
participation in events and community activities;
use of tools and other services, including training.

1.3. You should read these Terms and Conditions carefully before using ockisustainability.com and/or accessing any of our services. By accessing, using or signing up to our service, you agree to be bound by these Terms and Conditions (as applicable) and the documents referred to in them.

1.4. If you access ockisustainability.com under an organisation’s membership agreement, then your access is governed by the membership agreement between us and that organisation. In the event of any conflict between these Terms and Conditions and the organisation's membership agreement (as applicable), the terms of the organisation's membership agreement shall prevail to the extent of the inconsistency only. 2. Your membership to ockisustainability.com

2.1. We offer 'Community' membership to gain full access to our services offered on ockisustainability.com. Separate and/or additional terms and conditions may apply to future services we offer.

2.2. You may gain 'Community' membership by completing the online sign-up process. We verify your email address and email you to confirm the 'Community' membership is active.

2.3. We process 'Community' membership applications swiftly but cannot guarantee activation within a specific timeframe. We may reject 'Community' membership applications at our discretion.

2.4. It is the 'Community' member’s responsibility to update and maintain changes to their sign up details which can be accessed via Manage your account.

Fees

2.5. Access to Newsdesk and Communities content on the ockisustainability.com website is free via 'Community' membership. We retain the right to introduce fees in the future and will give 30 days notice.

2.6. The user is responsible for paying for any broadband, mobile, data, messaging or other internet connection and telecommunications charges that you may incur by accessing ockisustainability.com;

2.7. We will do all that we reasonably can to ensure that all of the information you give us is secure. However, in the absence of negligence on our part, any failure by us to comply with this contract or our Privacy Policy or breach by us of our duties under applicable laws, we will not be legally responsible to you for any loss that you may suffer if a third party gains unauthorised access to any information that you give us.

2.8. To cancel your 'Community' membership, you must send an email to info@ockisustainability.com with the following: "I/We hereby give notice that I/we cancel my/our membership". Please include:

the member's full name; and
the account email address.

2.9. We may suspend or terminate your 'Community' membership if we are prevented from providing services to you, by applicable law or circumstances beyond our control, or if we cease publishing ockisustainability.com.

2.10. We may also suspend or terminate your 'Community' membership, if you breach these Terms and Conditions, or in the event of any verbal or written abuse of any kind (including abusive, offensive or aggressive language) directed towards our team or any member of the public, with or without notice and without further obligation to you.

2.11. If you are not a 'Community' member, then we may suspend or terminate your access to ockisustainability.com at any time, with or without notice and without further obligation to you.

'Community' Membership renewal

2.12. Your 'Community' membership will continue unless you notify us that you wish to cancel it.

3. Using ockisustainability.com

Ownership of ockisustainability.com and its content

3.1. ockisustainability.com and its content and all intellectual property rights in each are owned by us, our licensors or both (as applicable). Intellectual property rights means rights such as: copyright, trade marks, domain names, design rights, database rights, patents and all other intellectual property rights of any kind whether or not they are registered or unregistered (anywhere in the world). We reserve all of our rights in any intellectual property in connection with these Terms and Conditions. This means, for example, that we remain owners of them and free to use them as we see fit.

3.2. Nothing in these Terms and Conditions grants you any legal rights in ockisustainability.com or its content other than as necessary to enable you to access the website and use the service. You agree not to adjust, to try to circumvent or delete any notices contained on ockisustainability.com (including any intellectual property notices) and in particular in any digital rights or other security technology embedded or contained within ockisustainability.com.

3.3. You are permitted to use the ockisustainability.com content only as set out in our Copyright Policy (see below). Circulation, copying or translation of our content is not permitted without our consent. Accessing and using ockisustainability.com content

3.4. You agree to comply with our Copyright Policy (see below) when using ockisustainability.com content. You are responsible for all use of ockisustainability.com content whether accessed with, or without a 'Community' membership, or under your organisation’s 'Professional' membership.

3.5. We reserve the right to amend the scope of your membership. We will give you at least 30 days’ notice of any significant reduction in the scope of your membership.

3.6. During 'Community' membership sign up, you will choose a username and password (“ID”). It is your responsibility to keep your ID confidential. The email address must not correspond to a generic or shared email account, and you must be entitled to use that e-mail address. All information received by us from your use of ockisustainability.com content will be used by us in accordance with our Privacy Policy.

3.7. If you believe there has been any breach of security such as the disclosure, theft or unauthorised use of your ID, you must notify us immediately by e-mailing us at info@ockisustainability.com. We recommend that you do not use ockisustainability.com’s “Remember me” login feature on any device that may be used by anyone other than you in order to prevent unauthorised access to ockisustainability.com and your 'Community' membership details.

User generated content (UGC)

3.8. ockisustainability.com allows users to comment on articles and submit information for publication. If you post comments or submit information to use then you must comply with our guidelines for commenting (see 3.10 below). You are responsible for all the content you submit that we publish. You are financially responsible to us for any claim against us by any third party that your user generated content (“UGC”) is not in accordance with these Terms and Conditions or that otherwise relates to your UGC.

3.9. You own the copyright in your UGC, and you agree to grant Ocki Sustainability Limited a right (but not an obligation) unlimited in time to publish, re-use, archive, modify, delete or commercially exploit that UGC in whole or in part as we see fit, whether on ockisustainability.com or otherwise, without any requirement to pay you for this and with or without attribution to you. You also waive any moral rights that you may have in regard to the UGC.

3.10. You agree to our guidelines:

only post original content and not infringe the copyright or other rights of any third party;
not post any UGC containing any form of advertising or promotion for goods and services or any form of unsolicited communication;
not post any confidential information of a third party;
not post any recommendations to buy or not buy a particular share or investment or which otherwise has the purpose of affecting the price or value of any share or other investment
do not make any commercial endorsement or promotion of any product, service or publication not relevant to the discussion;
not post anything is threatening, offensive, libellous, indecent or unlawful;
not post anything that is discriminatory in nature, for example, comments which make attacks on the grounds of race, religion, sex, gender, sexual orientation, disability or age;
do not use this site for party political purposes;
respectfully challenge different points of view but not personally attack other commentators.
not disguise the origin of any UGC and not impersonate any person or entity or misrepresent any connection with any person or entity;
not post any UGC that is unrelated to the topic in question;
not post any UGC that contains software viruses, files or code designed to interrupt, destroy or limit the functionality of ockisustainability.com or any computer software or equipment;
not collect or store other users’ personal data;
not restrict or inhibit any other user from using the UGC facility; and
comply with our guidelines for commenting (see below).
be respectful of others who use this site;
do not post personal information in comments such as addresses, phone numbers, e-mail addresses or other online contact details, which may relate to you or other individuals
do not attempt to log on using another user’s account
If you are aged 16 or under, please get the permission of your parent or guardian before participating. Users without this consent are not allowed to participate.

3.11. While Ocki Sustainability Limited monitors UGC prior to publication on ockisustainability.com, it may be difficult to make sure all the above criteria are met. If we receive notice that any UGC is potentially misleading, untrue, offensive, unlawful, infringes third party rights or is potentially in breach of these Terms and Conditions, then we will review that UGC, decide whether to remove it from ockisustainability.com and act accordingly. This may include banning a user from participation in UGC on ockisustainability.com. If you are aware of any such UGC, please notify us immediately with specific details by contacting us at info@ockisustainability.com

Accuracy of information and availability of ockisustainability.com

3.12. We try to ensure that ockisustainability.com content is accurate, independent and bug-free, but we cannot promise that it will be. Any reliance that you may place on our information is at your own risk.

3.13. We may suspend or terminate operation of ockisustainability.com or any part thereof at any time as we see fit.

3.21. Any agreements, transactions or other arrangements made between you and any third party named on, or linked to from ockisustainability.com are at your own responsibility and entered into at your own risk.

4. Your privacy and personal information

4.1. Your privacy and personal information are important to us. Any personal information that you provide to us will be dealt with in line with our Privacy Policy. This explains what personal information we collect from you, and how and why we collect, store, use and share it, your rights in relation to your personal information, and how to contact us and supervisory authorities in the event you have a query or complaint about the use of your personal information.

5. Limitation on our liability

5.1. Ockisustainability.com services are provided ‘as is’. We make no warranty, express or implied, regarding your membership.

5.2. The limitations of liability in this section 5 apply for the benefit of Ocki Sustainability, including its respective officers, directors, employees, agents or any company who we transfer our rights and obligations to in accordance with these terms and conditions.

6. Corporate Information

6.1. You will be contracting with Ocki Sustainability Limited, the publisher of ockisustainability.com for any memberships.

7. Changes to these Terms and Conditions

7.1. We may update these Terms and Conditions for legal or regulatory reasons, or to reflect changes in our services or business practices. We will provide notice of any significant changes below. You should regularly check this section to see if any changes have been made. Any changes will become effective as soon as we post them on ockisustainability.com. The date of the last update is published at the end of this document.

8. Law and jurisdiction

8.1. These Terms and Conditions are subject to English law. The courts of England will have exclusive jurisdiction to settle any dispute arising in connection with these Terms and Conditions.

9. General
9.1. We shall have no liability to you for any breach of these Terms and Conditions caused by any event or circumstance beyond our reasonable control including, but not limited to, strikes, lock-outs or other industrial disputes; epidemic or pandemic; breakdown of systems or network access; or flood, fire, explosion or accident.

9.2. You may not license or transfer any of your rights under these Terms and Conditions.

9.3. If any provision of these Terms and Conditions is found to be invalid by any court having competent jurisdiction, the invalidity of that provision will not affect the validity of the remaining provisions of these Terms and Conditions, which will remain in full force and effect.

9.4. Failure by either party to exercise any right or remedy under these Terms and Conditions does not constitute a waiver of that right or remedy. Headings in these Terms and Conditions are for convenience only and will have no legal meaning or effect.

9.5. These Terms and Conditions (together with the documents referred to within these Terms and Conditions including in sections 1.4 and 2.1) constitute the entire agreement between you and Ocki Sustainability Limited relating to your use of our services.

Copyright Policy

Ocki Sustainability is the sole owner or the licensee of all content on the ockisustainability.com website, including, without limitation, all applicable copyrights, patents, trademarks, trade secrets, trade names, logos, and other intellectual property rights thereto, as well as text, images, graphics, logos, audio, video, URLs, metadata and other material. The Ocki Sustainability website and its content are protected by the copyright laws and other intellectual property laws of the United Kingdom and are protected globally by applicable international copyright treaties.

Your use of the Ocki Sustainability website and content is for your own personal and non-commercial use only, provided you maintain and abide by any author attribution, copyright or trademark notice or restriction in any material that you download or print.

Without limitation, you shall not use (and you shall also not facilitate, authorise or permit the use of) the Ocki Sustainability website and/or any of its content (including, any caption information, keywords or other associated metadata) for any other purpose without our prior written approval - this includes, without limitation, that you shall not use, copy, scrape, reproduce, alter, modify, collect, mine and/or extract the Ocki Sustainability content: (a) for any machine learning, machine learning language models and/or artificial intelligence-related purposes (including the training or development of such technologies); (b) for any text and data aggregation, analysis or mining purposes (including to generate any patterns, trends or correlations); or (c) with any machine learning and/or artificial intelligence technologies to generate any data or content or to synthesise or combine with any other data or content; or (d) for any commercial use.

Other than as expressly set out in these terms and conditions, or otherwise approved in writing by Ocki Sustainability, you shall also not use, or facilitate, authorise or permit the use of, any (i) “robot”, “bot”, “spider”, “scraper”, “crawler” or (ii) other automated device, program, technique, tool, process, algorithm or method (whether for data gathering, mining, collection, reading, scraping, extraction or other purposes), in each case, on or in relation to the Ocki Sustainability website and its content.

You shall not use any service, software, device, tool, method, program, technique, algorithm or process to circumvent any restriction, condition, protection or technological measure that controls access to the Ocki sustainability website content in any way, including bypassing or circumventing any access controls or use limits of the said content (including, by way of example, robots.txt internet protocols or similar or successor protocols).

For the avoidance of doubt, Ocki Sustainability reserves all rights in ocki.sustainability.com content, (including for the purposes of Article 4(3) of Directive (EU) 2019/790 on copyright and related rights in the Digital Single Market and amending Directives 96/9/EC and 2001/29/EC) and similar reserved rights in other jurisdictions, in each case, to the maximum extent permitted by applicable laws.

Except as expressly authorised by Ocki Sustainability, you are not allowed to create a database in electronic or paper form comprising all or part of the material appearing on the ockisustainability.com website.
